NOTICE TO SHAREHOLDERS

RE:   Invesco US High Yield Fallen Angels UCITS ETF ( the "Fund")

Dear Shareholder

We are writing to you as a Shareholder of the Fund, a sub-fund of Invesco Markets III plc (the "Company"), to inform you of changes to the index methodology of the reference index of the Fund, the FTSE Time-Weighted US Fallen Angel Bond Select Index (the "Reference Index"). Share classes along with ISINs can be found in Schedule I, attached to this notice.

Background and Changes

FTSE Russell, the Index Provider, has announced the following proposed changes (the "Changes") to the index methodology of the Reference Index:

1.  Increase the minimum issue size from $250m to $300m

2.  Increase the minimum credit rating from C to B-

3.  Lower the time-based weight cap for constituents from 5x to 3x of their respective market value-based weights

Effective Date

The Changes will be effective from 1 February 2023 and the Prospectus will be amended in due course to reflect these Changes which will be available to Shareholders free of charge.

Should you wish to redeem your shareholding as a result of the Changes, you may do so in accordance with the dealing provisions outlined in the Prospectus.
